In modern civil turnover the definition of a bidding contract is a well known way of making contracts. Despite this fact, the modern legal science has not formed a general idea about the tender. In particular, the problem of this phenomenon is in minor investigation of the principle of the conclusion of agreement and the deal itself in the civil law. It requires further legal analysis in investigation of the legal procedures of the contract at the auction. Legal regulation of the relations in the area of conclusion of the contract on bidding is quite extensive in reality and evidenced by the reflection in the legislation of a significant number of trades. A vivid example is the legislation on the auction, conducted for the purpose of placing the state order. This legislation is comprehensive and currently is under in the process of reform in development of a new contractual system of the state order. The particular interest increase in the conclusion of the contracts by means of the electronic trading platforms. Thus, the situation in the field of legislation on the auction, its practical application and theoretical research in this field requires the further investigation of the bid process as a whole law area that illustrates the relevance of this article

The backgrounds of agent-based control in social and economic systems are discussed. The first background is based on the subjectivity of each control in social and economic systems, since such systems are regulated by people, serve them or affect their interests. The second background results from the fact that the control is effective due to the phenomenon of control agent’s mental activity, which includes an availability to see the future of the outside world through a various of targets, to rank and consciously select targets and ways to achieve them in accordance with agent’s preferences, to communicate using the natural language, in order to develop the emergence of organizational systems. The third background provides the development of special human abilities, which are the phenomenon of their subjective activities, based on a transition from the above human behavior models to formal models for the purpose of control and from formal models to descriptive ones — for the purpose of how the control agent should act. The fourth background lies in a need to eliminate a gap between descriptive and mathematical control sciences, the agent-oriented control targets and selection of actions. The fifth background towards the development of a new mathematical administrative subject, allows studying a wide enough variety of administrative events in social and economic systems, operating constructively with basic concepts and subjects of the agent-oriented control, what is equivalent to a new branch of mathematics – preferences models calculus. The objective of this article was to develop the concept of decision-making support in business assessment in mergers and acquisitions. The concept is developed with regard to system and process approaches, international and federal estimation standards, including projects of standards under development. The article presents the following research findings obtained personally by the author: mergers and acquisitions are classified; the validity of investment value for business assessment in mergers and acquisitions is shown; conditions of appraiser’s independence are given. The summary of findings allowed elaborating provisions of the concept of decision-making support in business assessment in mergers and acquisitions. The scientific novelty of the concept in question is provided with the use of investment value as a basic value of the target company and consideration for each party based on the model of their preferences. The practical relevance of this work is that the concept in question extends the methodological modeling basis for preferences of parties to a transaction, for the decision-making support in business assessment in mergers and acquisitions and study of effectiveness of algorithms proposed using business simulation games

The evolution of the theory of strategic management has led to increasing the role of the internal environment in the company's development strategy. The development of the Resource approach and the need for ongoing formation of competitive advantages led to the identification of the concept of dynamic capabilities. This article is devoted to the systematization of the main points of view on the nature and significance of this conceptual approach to the raise of the competitiveness of the up-to-date companies. Firstly, why the current trends in strategic management are dominated in particular concept of dynamic capabilities; secondly, could this approach be a theoretical and methodological base of the strategic choice of domestic companies? According to learning of few bibliographic sources there was identified the terminological basis, which was used in the resource and dynamical capability concepts («resources», «ability», «competence», «dynamic capabilities», «key competency», etc.), the analysis were realized and the correlation of these categories in the process of strategic choice was revealed. In the article the author's point of view devotes to the concept of key competences and its role in the achieving competitive advantages.
