Legal consolidation of the corporate agreement institution
in the Civil Code of the Russian Federation allowed the
participants of business companies to implement and
manage corporate rights in accordance with this
agreement. However, reception of the institution and the
lack of uniform court practice gave rise to many doctrinal
disputes about the legal nature of the contract. The article
presents the opinions of scientists on the issue of what
rules of areas of law regulate the corporate agreement,
whether it is separate or complex legal institution. The
authors consider that the corporate agreement is governed
exclusively by the rules of civil law. The corporate
agreement is not a contract or an obligation in the
traditional sense, however, it should be subjected to the
general rules of obligations and contract law The
corporate agreement has features of the unnamed
contract, but despite this, it should be recognized as an
independent civil law named contract. It is needed to
ensure that, in addition to the general rules of the
Obligations and Contracts, the rules of a treaty on the
rights of participants of the limited liability and
stockholders' agreement are applied to the corporate
agreement
The article considers the experience of the

The article reveals the basic concepts, purpose and
classification of HRM systems used to manage the
organization's staff. The analysis of the international
and Russian market of HRM-systems and selected
alternatives (seven information systems) of this class
focused on the Russian practice of large and mediumsized
businesses has been performed. The process of
implementing an information system involves
selecting the system that best suited to the needs of the
business. For this purpose, there were developed
evaluation criteria of information systems and their
importance for the company. This stage of research
was conducted through a survey of experts from
among the University staff and practitioners. As a
result, we have obtained the matrix of evaluations of
alternative information systems of HRM and selected
class "1C: Salary and personnel management 8".
Research demos of the selected HRM system allowed
developing a functional model, presented in the form
of complex diagrams of cases of modeling language
UML 2.0. The developed diagrams clearly reflect the
allocated subsystems and their functions, as well as the
relationship between the actors of the process and
system functions. Summarizing the experience of
implementing similar systems, we composed a smartchart
showing the main stages of its implementation.
The results have practical value and can be used by
companies of the considered business segment as
specific recommendations
This article focuses on actualization of mainstreaming
of research the problems of development of native
civil society within the conservative direction, based
on historical civilizational identity of Russia.
Comparing main postulates of russian and west
civilizations their historically formed priorities in
spiritual, political and economic spheres are showed.
Based on them and on critical assessment of attempts
to adapt the western model to Russian reality, authors
consider that the nature of the problem of similarity
between Russian reality and model civil society is in
only west orientation of civil society theory, which
does not suit to stable features of Russia as specific
civilization. Trying to find an optimal model of civil
society, authors refer to an idea of core values of
native civilization. A number of historical issues,
which influence on positive development of civil
society in Russia, is showed. In order to solve them it
is suggested to take measures, the realization of which
depends on implementation some functions by civil
society together with the state. It is concluded, that
Russian society during its history can be reviewed as a
civil society within its traditional value
Nowadays on the market, there is a large variety of CAD systems and specialized software; however, to solve effectively research and design problems there remains task of development and implementation of national Russian-language information systems that are compatible with the requirements of Russian regulations to support the design and research of industrial buildings and facilities parameters. Being irrespective of the sizes and structure of the industrial enterprises, there are a number of approved design techniques, including calculations of lighting, heating, ventilation, water supply and so on. To improve the efficiency of the interested experts work on their basis there were developed efficient algorithms as well as information systems and database. In the article there is justified the necessity of the developing information systems and processes of industrial premises designing on the example of lighting calculation. We have highlighted the main ways of increasing project work efficiency of engineering and technical personnel on industrial enterprises. For their practical implementation, there is required proper organization of information flows by creating programs and databases complex. The article includes information about the "Calculation of lighting industrial enterprises" subsystem that is the part of the "Designing of industrial enterprises" information system. We have presented methodology of work with the software product in the mode of calculation of industrial premises lightning with fluorescent lamps using the method of light flux utilization factor
This article describes a mathematical model of transport
of salt ions in a cell with a rotating disk cation exchange
membrane at transcendent current regimes, taking into
account electroconvection. Based on this model, we had
a theoretically study of the process of transfer of salt
ions and the dependence of the thickness of the
diffusion layer from the fall of potential. This article is
a continuation of [8] and [9], it conducted a numerical
analysis of boundary value problem for a system of
equations Nernst-Planck-Poisson and Navier-Stokes
equations, modeling the transport of salt ions in a
cylindrical cell with a rotating disc cation exchange
membrane based on electroconvection. It is shown there
is an electroconvection vortex in the center of the
membrane disc. The solution flows around this vortex
and forms a stagnation zone in front of it. With the
increase in the size of the fall of potential, the
electroconvective vortex decreases and at some value,
the electroconvective vortex disappears. The study was
conducted in the 1000 s when the angular velocity of 30 turns in a minute and change of the potential difference
of 0.2V to 1.4V with a step 0.1. As a result, in this
study it is shown that the thickness of the diffusion
layer is practically linearly dependent on the fall of
potential. The linear dependence of the thickness of
diffusion layer from the fall of potential, in the first
approximation, is disturbed by a slight deflection curve,
the causes of which are needed to be found by means of
extra experiments
The article reviews four variants of laying nurseries of
primary branches of seed production of long-grained
rice varieties of the Kuban breeding taking into
account their biological features, plots area ranges
from 0,7 m2
to 1,1 m2
, seeding rate for one family –
from 100 pcs./m 2 to 170 pcs./m2 . We have studied
traits of long-grained rice varieties of the Kuban
breeding - Ivushka, Avstral, Kurazh, affecting the
yield and quality of seeds: yield, multiplication factor
and fractional composition of seeds depending on
laying multiplication nursery of first year progeny.
The differences between varieties by the type of
tillering, vigor, germination of seeds depending on
planting system are shown. Optimal way for laying
seed nurseries is found: for long-grained varieties with
medium tillering (Kurazh type) – row length – 3,3 m
and seeding rate – 120 caryopses/m2
; for those with
intensive tillering (Ivushka type) – row length – 3,8 m
and seeding rate - 120 caryopses/m2
. This will allow
using mechanical method of sowing using selective
cassette seeding-machine in the primary seed
production, reducing cost of seed production and
increasing efficiency of labor, increasing volume of
seed production of long-grained rice varieties in short
terms and accelerating their implementation in the
Kuban region for import substitution
In this work, a model is developed that describes the
formation of a stepped lightning leader in a conducting
medium. To describe the contribution of the conductivity
currents, we modified the standard electrostatic equation
taking into account the vortex component of the electric
field. As a result of this generalization, a system of
parabolic-type nonlinear equations is formulated that
describes the formation of streamers and the lightning
channel. Numerical simulation of the propagation of
ionization waves in a region with a ratio of 1/100, 1/200
allows us to identify two types of stepped streamers in
the form of waves of compression and rarefaction,
respectively. It was previously established that there are
three streamer branching mechanisms. The first
mechanism is related to the instability of the front, which
leads to the separation of the head of the streamer into
two parts. The second mechanism is associated with the
instability of the streamer in the base region, which leads
to the branching of the streamer with the formation of a
large number of lateral streamers closing the main
channel of the streamer to the cathode. In numerical
experiments, the third branching mechanism observed in
experiments connected with closing the space charge to
the anode through the streamer system was observed.
These branching mechanisms are also revealed when the
leader is propagated. The obtained results, as well as the
data of numerical experiments confirm the hypothesis of
the universality of the minimal model of the streamer, as
well as its expansion in the form proposed by the author.
Known phenomena of nature associated with the
electrical discharge - streamer, plasmoid, ball lightning
and stepped leader can be described within the
framework of the minimal model
